1. Acceptance of Terms
By installing, accessing, or using PlateOS ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
2. Description of Service
PlateOS is a subscription management platform designed for meal prep businesses. The Service integrates with Shopify to provide:
- Subscription billing and management
- Delivery scheduling and route optimization
- Driver portal for delivery operations
- Customer portal for subscription self-service
- Order management and fulfillment workflows
3. Account Registration
When you install PlateOS, an account is automatically created for your store. You are responsible for:
- Maintaining the security of your account credentials
- All activity that occurs under your account
- Notifying us of any unauthorized access
4. Subscription and Billing
- Free Trial: New installations receive a 14-day free trial with full feature access.
- Pricing: After the trial, you must select a paid plan to continue using PlateOS. Current pricing is available at plateos.io/pricing.
- Payment: Subscription fees are billed monthly. Failure to pay may result in service suspension.
- Cancellation: You may cancel at any time by uninstalling the app from Shopify. No refunds are provided for partial billing periods.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to reverse engineer, decompile, or disassemble the Service
- Transmit malicious code or interfere with the Service's operation
- Exceed reasonable usage limits or abuse API access
- Resell or redistribute the Service without authorization
6. Data Ownership
- Your Data: You retain full ownership of all data you input into PlateOS (customer data, orders, configurations).
- Our Service: PlateOS retains all rights to the platform, software, and underlying technology.
- Shopify Data: Data accessed through Shopify APIs is governed by Shopify's terms and your agreement with Shopify.
7. Service Availability
We strive for 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance when possible. We are not liable for downtime caused by third-party services (Shopify, cloud providers, etc.).
8. Limitation of Liability
To the maximum extent permitted by law, PlateOS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of the Service.
9. Indemnification
You agree to indemnify and hold PlateOS harmless from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.
10. Termination
We may suspend or terminate your access to PlateOS if you violate these Terms. Upon termination, your right to use the Service ceases immediately. Data retention follows our Privacy Policy.
11. Modifications
We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the new Terms.
12. Governing Law
These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles.
